Terms of Service

1. Agreement to Terms

By accessing or using the Extol platform, including the Extol community event tool and any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

"We," "us," and "Extol" refer to Extol, Inc. "You" and "your" refer to the individual or entity accessing the Services.

2. Description of Services

Certain components of Extol are published as open-source software under the Apache License 2.0. Your use of the hosted Extol service is governed by these Terms.

Certain features of the Services are available at no charge. Premium features are available through paid subscription plans as described on our pricing page. We reserve the right to modify pricing with 30 days' advance notice.

3. Account Registration

3.1 Account Creation

To use certain features of the Services, you must create an account. You agree to:

You must be at least 13 years old to create an account or use the Services. In jurisdictions where the digital age of consent is higher than 13 (including certain EU/EEA member states where it may be up to 16), the local age of digital consent applies. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

For communities that serve participants under 13 (or under the local age of digital consent), additional parental consent requirements apply. See our COPPA Compliance section (Section 11).

4. User Content and Contributions

4.1 Your Content

You retain ownership of all content you submit to the Services, including event descriptions, activity records, contributions, and peer attestations ("User Content").

By submitting User Content, you grant Extol a non-exclusive, worldwide, royalty-free license to use, store, display, and process your User Content solely to provide and improve the Services. This license terminates when you delete your content or account, subject to Section 4.3.

4.2 Contributor Commons Agreement

If you participate in a Collective under the Contributor Commons Agreement (CCA), your Contributions are governed by the CCA in addition to these Terms. In the event of a conflict between these Terms and the CCA with respect to Contributions, the CCA controls.

4.3 On-Chain Data

If your community activates Extol governance features, certain data may be recorded as on-chain attestations on a public blockchain. Activation of on-chain features requires your consent. You may opt out of on-chain features while retaining access to Extol's free coordination tools (see Privacy Policy Section 7.5). You acknowledge that:

5.1 Community Rules

Individual communities may adopt governance rules (Bylaws) consistent with the CCA and these Terms. Community Bylaws may impose additional requirements on members beyond these Terms, including:

Communities that activate Extol governance may issue community tokens that represent your participation. Community tokens:

Some communities may enable additional token features through their governance process, subject to additional requirements, regulatory compliance, and fresh consent from each member.

5.3 Platform Governance

Changes to the Extol platform that affect all communities — including changes to these Terms, the CCA, and platform-wide policies — are subject to a governance process that includes Collective input, as described in the Platform Governance Charter.

6. Intellectual Property

6.1 Extol Platform

The Extol platform (excluding open-source components published by Extol and User Content) is the proprietary property of Extol, Inc. All rights reserved. You may not copy, modify, distribute, or reverse-engineer the platform except as expressly permitted.

6.2 Open-Source Components

Certain components of the Extol platform are published as open-source software, as follows:

(a) The @extol-work/brij-core package, published on npm, is licensed under the Apache License, Version 2.0.

(b) The extol-work/brij repository, published on GitHub, is licensed under the Business Source License 1.1, which converts to the Apache License, Version 2.0 on April 8, 2030.

Your use of these components is governed by the terms of the applicable license, which is distributed with the source code. Nothing in these Terms grants you any rights in or to other components of the Extol platform, which remain proprietary to Extol, Inc.

6.3 Trademarks

"Extol," "Brij," and the Extol and Brij logos and word marks are trademarks of Extol, Inc. The open-source licenses described in Section 6.2 do not grant any right or license to use these trademarks, except as required for reasonable and customary use in describing the origin of the open-source components. All other use of these trademarks requires the prior written consent of Extol, Inc.

7. Fees and Payment

7.1 Free Tier

Basic community coordination features are available at no charge. Free-tier users are not required to provide payment information.

7.2 Paid Subscriptions

Paid features are billed on a monthly or annual subscription basis. Prices are listed on our pricing page. You authorize Extol to charge your designated payment method at the beginning of each billing period.

7.3 Refunds

Subscription fees are non-refundable except as required by applicable law. If you cancel a subscription, you retain access to paid features through the end of the current billing period.

7.4 Changes to Pricing

We may change subscription pricing with at least 30 days' advance notice. Price changes apply at the start of the next billing period following notice. Fees governed by the Contributor Commons Agreement follow CCA notice periods, which supersede this section for CCA-governed fees.

8. Acceptable Use

You agree not to:

Violation of this section — including any use of the Services in violation of applicable federal, state, local, or international law — may result in content removal, account suspension, or termination at Extol's sole discretion.

8.1 Community Moderation

Individual communities may establish and enforce their own rules through their Bylaws, consistent with the CCA and these Terms. Community coordinators and governance processes may:

Extol does not adjudicate disputes between communities and their members except as provided in the CCA's dispute resolution process (see Section 14.4). Communities are responsible for enforcing their own rules within the framework of applicable law and these Terms.

9. Account Deletion and Data Removal

9.1 Your Right to Delete

You may delete your account at any time through Settings. Upon deletion:

Your activity data: Your user record, all attendance records, contribution records, and peer attestations are permanently deleted.

Your identity link: The connection between your identity and your blockchain wallet address is permanently severed. Your wallet becomes an anonymous, unlinked address.

On-chain records: Attestations, token balances, and staking positions on the public blockchain cannot be deleted. However, without the identity link (which has been deleted), these records cannot be linked back to you.

9.2 Irreversibility

Account deletion is permanent and cannot be undone. We cannot recover deleted accounts, activity history, or identity links.

9.3 Coordinator Records

If you delete your account, records that a coordinator created on your behalf are also deleted. Aggregate community statistics (e.g., total event attendance counts) may be retained in anonymized form.

10. Disclaimers

10.1 As-Is Service

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

10.2 Blockchain Risks

You acknowledge that:

Extol does not guarantee any particular outcome from community governance processes. Communities are self-governing within the framework of the CCA and these Terms.

11. COPPA Compliance

11.1 Children Under 13

The Services are not directed to children under 13. We do not knowingly collect personal information from children under 13 without verifiable parental consent.

11.2 Youth-Serving Communities

Communities that serve participants under 13 must:

If you believe we have collected information from a child under 13 without parental consent, contact us at legal@extol.work and we will promptly delete the information.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXTOL, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES.

EXTOL'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO EXTOL IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Extol, Inc. and its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from:

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

14.2 Arbitration

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall take place in Sheridan, Wyoming, or remotely at your election.

14.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding.

14.4 CCA-Governed Disputes

Disputes arising under or relating to the Contributor Commons Agreement — including disputes between a Collective and Extol, or between Contributors acting collectively and Extol — are governed by the CCA's dispute resolution provisions, not this arbitration clause. The CCA's dispute resolution process is designed for collective participation and supersedes Sections 14.2 and 14.3 for CCA-governed matters.

14.5 Other Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction for claims involving intellectual property infringement or unauthorized access to the Services.

15. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated with at least 30 days' advance notice through the platform or by email. Your continued use of the Services after the effective date of modifications constitutes acceptance of the updated Terms.

16. Termination

16.1 By You

You may terminate your account at any time by deleting your account through Settings (see Section 9).

16.2 By Extol

We may suspend or terminate your account if:

We will provide reasonable notice before termination except in cases of Terms violations or legal requirements.

16.3 Effect of Termination

Upon termination, your right to use the Services ceases. Sections 4.3 (On-Chain Data), 6 (Intellectual Property), 10 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 14 (Dispute Resolution) survive termination.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and (if applicable) the CCA and applicable Collective Bylaws, constitute the entire agreement between you and Extol regarding the Services.

17.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

17.3 No Waiver

Extol's failure to enforce any provision of these Terms does not constitute a waiver of that provision.

17.4 Assignment

You may not assign your rights under these Terms without Extol's prior written consent. Extol may assign its rights without restriction.
